01 · Introduction

A Polish sp. z o.o. is the most common way for foreign companies to start operating in Poland. It gives shareholders limited liability, a Polish NIP and VAT number, an account with a Polish bank and credibility with customers.

Entering the company in the KRS is only the beginning. Before the company can issue its first invoice, you also need to report beneficial owners, register for VAT, open a bank account, configure KSeF and set up accounting. We run this entire process.

02 · Scope

What the service includes

  • Choice of form: sp. z o.o., P.S.A., S.A., branch or representative office
  • Registration via S24 or at a notary, KRS application
  • Registered office address in Warsaw
  • CRBR, NIP-8, PCC-3, VAT and EU VAT, KSeF access
  • PESEL and electronic signature for foreign board members
  • Bank account: full set of documents and bank introduction

03 · What it means

What it means for you

For you this means one contact person and one plan from idea to operating company. We choose the form (sp. z o.o., simple joint-stock company, S.A., branch or representative office), prepare the documents in your language and file them with the authorities in Polish.

If no board member has a Polish electronic signature, we arrange a PESEL and signature or register the company at a notary under a power of attorney.

Who it is for: Foreign companies and founders from outside Poland, including where no board member lives in Poland.

04 · Why it matters

Why it matters

01

Accountability

Poorly drafted articles of association or late filings mean penalties and personal liability for board members.

02

Czas

Without VAT, a bank account and KSeF the company will not earn its first złoty. A well-planned start reduces this to a few business days.

03

Credibility

Banks and counterparties check the KRS, the CRBR and the VAT white list. Complete entries open the door to credit and large clients.

questions

Frequently asked questions

All questions
01How long does registration take?

Via S24 the court usually processes the application within one business day. With articles signed at a notary, allow up to a few days. VAT registration and a bank account usually take further days or weeks.

02Do I need to come to Poland?

Not always. We do many steps remotely under a power of attorney. When a bank or authority requires your presence, we arrange a single visit.
