Mergers and acquisitions

Buying or selling a Polish company: due diligence, the agreement and closing of the transaction.

1%PCC on the purchase of shares
SPA / APAshare or asset purchase agreement
UOKiKclearance for larger transactions

01 · Introduction

Acquiring a company means buying its shares or the entire business. Together with the company you buy its contracts, employees, debts and disputes, including those the seller did not mention.

We examine the company before the purchase (due diligence), translate the risks into contractual provisions and take the transaction through to closing and the changes in the KRS and CRBR.

02 · Scope

What the service includes

  • Legal due diligence and red flag report
  • Share or asset purchase agreement (SPA/APA)
  • Warranties, seller liability, escrow
  • UOKiK filings and investment screening
  • KRS and CRBR changes after closing

03 · What it means

What it means for you

For you this means a decision based on facts, not on the seller’s presentation. You receive a red flag report: what is in order, what must be fixed before closing and what affects the price.

We also check whether the transaction requires UOKiK clearance or notification under foreign investment screening.

Who it is for: Investors buying a Polish company and owners preparing their business for sale.

04 · Why it matters

Why it matters

01

Cena

Hidden tax, employment or contractual liabilities reduce the real value of a company. Due diligence provides arguments for negotiation.

02

Protection

Seller warranties, escrow and liability caps determine who pays for problems discovered after closing.

03

Zgody

A transaction closed without the required UOKiK clearance may be challenged and the parties fined.

05 · Legal basis

01Where should an acquisition start?

With a conversation about goals and budget, followed by an NDA and due diligence. We tailor the scope of the review to the size of the transaction so that you do not pay for checking things that do not matter.
